Terms of Service

These terms govern your use of ROAS Shield. By creating an account or connecting Meta, you agree to them.

Acceptance

These Terms of Service form a binding agreement between you ("you", "Customer") and ROAS Shield ("we", "us", "our"). They apply when you create an account, when you connect a Meta account through us, and on every subsequent use of the service.

If you are using the service on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" in these terms refers to that organisation.

If you do not agree to these terms, do not create an account, and do not connect Meta.

Account responsibilities

  • You are responsible for keeping your login credentials secure. Notify us at [email protected] if you suspect unauthorised access.
  • You are responsible for all activity that occurs under your account, including activity by team members you invite.
  • You must provide accurate registration details and keep your billing email up to date.
  • You are responsible for the lawful basis under which you process the personal data of people who comment on your ads. We act as a data processor; you are the data controller. See our Data Processing Agreement for the details.

Acceptable use

You may not use ROAS Shield to:

  • moderate comments on Pages or accounts you do not own or are not authorised to manage,
  • circumvent Meta's rate limits, scrape content from Meta in ways their terms forbid, or use the service to support any prohibited activity under Meta's Platform Terms,
  • send spam, harassing, abusive, or unlawful replies through the AI reply feature,
  • attempt to extract or reverse-engineer our AI models, our moderation rules, or any other proprietary system,
  • resell, sublicense, or white-label the service without a separate written agreement.

We reserve the right to suspend or terminate accounts that violate these rules. Where we do, we will notify you and explain why, except where notification would itself violate a legal obligation.

Subscription and billing

The service is sold on a subscription basis through tiered plans (Trial, Starter, Growth, Agency, Scale). Plan prices, included usage, and overage rules are listed at /pricing and inside your billing dashboard.

Payments are processed by Stripe. By subscribing, you also agree to Stripe's Customer Terms of Service. We never see or store your full payment card details; Stripe holds them and shares only the last four digits with us for invoice display.

  • Billing cycle. Plans bill monthly in advance. Usage-based charges (AI classifications, AI replies) bill at the end of each billing period through Stripe billing meters.
  • Pro-rata. Plan upgrades take effect immediately and are pro-rated. Plan downgrades take effect at the end of the current billing period.
  • Refunds. We do not refund partial months. We will refund mistaken charges in full where you raise them within 30 days.
  • Failed payments. If a payment fails, we retry for 14 days. If we cannot collect, the workspace moves to read-only and automated moderation is paused.

Meta platform terms

Your use of the service is also subject to Meta's Platform Terms, Developer Policies, and the terms of any Meta product you connect (Pages, Instagram, Ads). Where those terms conflict with ours, Meta's terms apply to the Meta integration parts of the service.

We connect to Meta on your authorisation and only with the permissions you grant. You can revoke our access at any time from your Meta account settings; doing so triggers a data-deletion process described at /legal/data-deletion.

Service availability

We aim for 99.5 percent monthly uptime, but we do not guarantee uninterrupted service. Planned maintenance is announced at least 24 hours in advance through the in-app banner or by email. We are not liable for downtime caused by Meta API outages, third-party provider outages, or events outside our reasonable control.

Status updates are published at status.adcp.example.com.

Termination

You may terminate your subscription at any time from the billing dashboard. Termination takes effect at the end of the current billing period, after which no further charges apply.

We may terminate your account if:

  • you breach these terms and do not cure the breach within 14 days of written notice,
  • your payment is more than 30 days overdue,
  • continuing the service would expose us to legal liability,
  • Meta requires us to suspend your access.

After termination, we delete your data in line with our Privacy Policy and the Data Deletion page.

Liability and warranty disclaimer

The service is provided on an "as is" basis. To the fullest extent permitted by law:

  • we make no warranty that the service will be uninterrupted, error-free, or fit for any particular purpose beyond what is described in our published documentation,
  • our total aggregate liability to you for any claim arising from these terms is capped at the fees you paid to us in the 12 months preceding the claim,
  • we are not liable for indirect, consequential, or punitive damages, including lost profits, lost data, or business interruption.

Nothing in these terms limits liability for fraud, gross negligence, or anything else that cannot be limited by law.

Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute, except where you have a non-waivable right to bring proceedings in your local jurisdiction as a consumer.

Changes to these terms

We may update these terms when our service or legal obligations change. Material changes are announced by email at least 14 days before they take effect. The "Last updated" date at the top of this page reflects the current version. If you do not accept a change, you may terminate your subscription before it takes effect.
